Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website vysdom.ai (the "Site") and any related services provided by Vysdom AI ("Company," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site.

1. Acceptance of Terms

By accessing the Site, you affirm that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are accessing the Site on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

Vysdom AI provides research consulting, quantitative advisory, and educational services in the fields of theoretical physics, economics, and formal verification. The Site serves as an informational and marketing platform for these services.

Actual consulting engagements are governed by separate, individually negotiated engagement agreements (Statements of Work, Master Service Agreements, or similar documents). These Terms govern your use of the Site only and do not constitute an agreement for consulting services.

3. Intellectual Property

3.1 Ownership

All content on the Site — including but not limited to text, graphics, logos, images, research summaries, mathematical derivations, code, software, design elements, data compilations, and audio/visual materials — is the exclusive property of Vysdom AI or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

3.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for personal, non-commercial, informational purposes only. This license does not include:

  • Any right to reproduce, distribute, publicly display, or create derivative works from Site content
  • Any right to use Site content for commercial purposes without prior written consent
  • Any right to "scrape," data-mine, or use automated tools to extract content from the Site
  • Any right to remove or alter any proprietary notices, labels, or marks from Site content

3.3 Research Publications

Academic papers, preprints, and research summaries published on the Site may be subject to separate licensing terms (e.g., Creative Commons, journal-specific licenses). Where applicable, such terms are noted on the relevant publication page and take precedence over these Terms for the publication itself.

3.4 Trademarks

"Vysdom AI," the Vysdom AI logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Vysdom AI. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.

4. Disclaimer of Professional Advice

IMPORTANT — PLEASE READ CAREFULLY:

The content on the Site — including research summaries, articles, mathematical analyses, economic commentary, and all other materials — is provided for educational and informational purposes only. Nothing on the Site constitutes:

  • Financial or investment advice
  • Legal advice
  • Tax advice
  • Professional consulting advice (unless governed by a separate engagement agreement)
  • An offer or solicitation to buy or sell any securities, financial products, or services

You should not rely on any content on the Site as a substitute for professional advice from qualified professionals in the relevant field. Any reliance you place on Site content is strictly at your own risk.

5. No Warranty

THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, AND SERVICES PROVIDED ON THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VYSDOM AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT
  • WARRANTIES THAT ANY RESEARCH RESULTS, MATHEMATICAL DERIVATIONS, OR ANALYSES WILL BE CORRECT, COMPLETE, OR SUITABLE FOR ANY PURPOSE

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VYSDOM AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, including but not limited to damages for loss of profits, revenue, data, goodwill, or other intangible losses
  • ANY DAMAGES ARISING FROM: (a) your access to, use of, or inability to use the Site; (b) any conduct or content of any third party on the Site; (c) any content obtained from the Site; or (d) unauthorized access, use, or alteration of your transmissions or content

AGGREGATE LIABILITY CAP: In no event shall Vysdom AI's total aggregate liability to you for all claims arising out of or relating to the use of the Site or these Terms exceed the greater of: (a) the amount you have paid to Vysdom AI in the twelve (12) months preceding the event giving rise to the claim; or (b) one hundred U.S. dollars ($100.00).

THE LIMITATIONS OF LIABILITY SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND VYSDOM AI. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL.

7. Indemnification

You agree to indemnify, defend, and hold harmless Vysdom AI, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Site or any content obtained from the Site
  • Your violation of any third-party right, including any intellectual property, privacy, or proprietary right
  • Any claim that your use of Site content caused damage to a third party
  • Any misrepresentation made by you

This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Site.

8. Dispute Resolution — Mandatory Binding Arbitration

8.1 Agreement to Arbitrate

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

You and Vysdom AI agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any services provided by Vysdom AI (collectively, "Disputes") shall be resolved exclusively through final and binding arbitration, rather than in court, except as otherwise provided herein.

8.2 Arbitration Rules

Arbitration shall be administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator selected in accordance with AAA rules. The seat of arbitration shall be New York, New York.

8.3 Small Claims Exception

Notwithstanding the foregoing, either party may bring an individual claim in small claims court if the claim qualifies and remains in small claims court.

8.4 Injunctive Relief

Nothing in this Section shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

9. Class Action Waiver

YOU AND VYSDOM AI AGREE THAT EACH MAY BRING DISPUTES AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Unless both you and Vysdom AI agree in writing, the arbitrator may not consolidate more than one person's claims or otherwise preside over any form of class, collective, or representative proceeding.

10. Governing Law and Jurisdiction

These Terms and any Disputes shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict-of-law principles. To the extent that arbitration is for any reason found not to apply to a Dispute, you agree to submit to the exclusive jurisdiction of the state and federal courts located in New York County, New York.

11. Reservation of Rights

Vysdom AI reserves the right, at its sole discretion, to:

  • Modify, suspend, or discontinue the Site (or any part thereof) at any time, with or without notice
  • Refuse, restrict, or terminate your access to the Site for any reason
  • Remove or modify any content on the Site at any time

Vysdom AI shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Site.

12. User Conduct

You agree not to:

  • Use the Site for any purpose that is unlawful or prohibited by these Terms
  • Attempt to gain unauthorized access to any part of the Site, its servers, or any connected systems
  • Use any automated means (bots, scrapers, crawlers) to access the Site or extract content without prior written consent
  • Interfere with or disrupt the operation of the Site or any servers or networks connected to the Site
  • Transmit any viruses, malware, or other malicious code
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity

13. Third-Party Links

The Site may contain links to third-party websites, platforms, or services that are not owned or controlled by Vysdom AI. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. You access third-party links entirely at your own risk.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

15. Waiver

The failure of Vysdom AI to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Vysdom AI.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Vysdom AI regarding the use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.

These Terms do not govern consulting engagements, which are subject to separately executed engagement agreements.

17. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without Vysdom AI's prior written consent. Vysdom AI may assign or transfer these Terms, in whole or in part, without restriction. Any attempted assignment in violation of this Section shall be null and void.

18. Force Majeure

Vysdom AI shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemic, war, terrorism, civil unrest, government actions, power failures, internet or telecommunications failures, or labor disputes.

19. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of the Site after the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must discontinue use of the Site.
